违约赔偿责任在性质上归属为民事责任。比较国内外立法，结合司法实践，从三个方面对其加以阐述并提出看法；在责任的构成条件上，其与损害赔偿责任条件相同，要求具有违约行为、损害结果以及违约行为与损害结果的因果关系，不同的是违约赔偿责任实行无过错责任的原则；在责任的适用范围上，要求“完全赔偿”，包括直接损失和间接损失，但设定了“可预见规则”和“减损规则”作为限制；在责任的承担方式上为损害赔偿额，而违约金须经申请由人民法院或仲裁机构增减时才能转化为赔偿额而成为责任方式。 相似文献

缔约过失责任最早由德国法学家耶林提出来,其理论基础是民法中的诚实信用原则。在缔约过程中,如果一方当事人违反诚实信用原则所应承担的先合同义务,致使合同不成立、无效或被撤销,造成对方信赖利益损失,则应承担民事赔偿责任。我国《合同法》第42条规定了缔约过失责任,然而对缔约过失责任的规定存在一些不足,尤其是对缔约过失责任的概念、表现形式、性质等没有作出明确的规定,司法实践中也不能很好地区分缔约过失责任和非缔约过失责任,因此需要进一步完善缔约过失责任制度。 相似文献
