| 摘 要： | 本文在对原《公司法》与新《公司法》进行对比的基础上,就新《公司法》关于保护中小股东权益的几项重要举措之一--累积投票制度进行了较为深入的评述,根据新《公司法》增设的累积投票制度虽然体现了维护社会公平之主旨,但也存在不可忽视的弊端,需要进一步加强立法的完善.

| Abstract: | Based on the contrasts between the old Corporation Law and the new Corporation Law,this paper has made further comment on the cumulative voting system,one of the measures adopted to protect the rights and interests of minority shareholders.The writer thinks although the cumulative voting system newly adopted in the new Corporation Law has embodied the theme of social equity protection,it still has some non-negligible weaknesses that call for the further perfection of legislation. |
