| 摘 要： | 中国公司法即将作出全面修改,在公司的组织形态中,将有一人公司的法律规定.一人公司成为中国公司法重要的组织形态,顺应了世界公司立法的潮流,是公司法立法、理论的重大突破,破解了司法实践中的困惑.一人公司的制度安排需符合中国国情,对其产生的负面影响也有规制的必要.

| Abstract: | Company Law of the People's Republic of China will be revised and one-person company will be legal in the company organizational forms. This conforms to the world company legislation, explains the puzzles in the legal practice and is an important breakthrough at the legislation and theory of company law. The system of one-person company must be in accordance with the national conditions of China. The negative sides should also be regulated. So it is theoretically necessary to study the related legal problem of one-person company. |
