| 摘 要： | 美国《反海外腐败法》引入了经济全球化时代治理腐败的全新理念——将贿赂外国官员或国际公共组织官员的行为规定为犯罪,并通过加强公司内部治理尽量避免贿赂行为的发生。经过30年的发展,这种理念逐步得到了国际社会的认可和接受,并为我国正在开展的商业贿赂专项治理活动提供了新的思路和方法。我们应当借鉴《反海外腐败法》的成功经验,完善相关的贿赂条款、加强公司内部的治理责任,借助多样化制裁方法,科学有效地治理商业贿赂。

| Abstract: | The Foreign Corrupt Practices Act of the United States introduces a wholly new measurement, that is, to criminalize the bribery of foreign public officials and officials of public international organizations, and to strengthen the internal- control responsibility of the corporations to avoid bribery. This notion has been gradually recognized and accepted by the international society since it was imported 30 years ago. Meanwhile, it also provides us new thoughts and methods to cope with commercial bribery in China. We should make reference to the successful experience of the Foreign Corrupt Practices Act, improve the relative regulations against bribery, strengthen the internal-control responsibility of the corporations, and adopt multiform sanction methods to strike down commercial bribery in a scientific and effective way. |
