| 摘 要： | 诚实信用在商品交易领域遭遇了空前的挑战。为从根本上解决商品交易领域的信用危机问题,要把诚实信用原则在合同法律制度中进一步转化为可操作性的法律规则,具体细化附随义务,包括合同成立前善意磋商、如实告知、恪守允诺、利益兼顾的义务,合同履行过程中的主动告知、积极保护、尊重习惯、不得规避法规、不得曲解合同条款的义务,合同终止后根据交易习惯履行通知、协助、保密等义务。

| Abstract: | Honesty and credibility face unprecedented challenges in commodity exchanges.To fundamentally resolve the credibility crisis in the field,we must transform the principle of honesty and credibility into operable laws and rules in systems of contracts and laws.We must specify obligations including negotiations with good intentions,faithful notification,scrupulous fulfillment of promises and balanced consideration to interests of both parties before signing contracts.The obligations also include active notification,positive protection,respect for habits,no evading laws and no interpreting contract items when carrying out contracts.After fulfilling contracts,we should,according to exchange habits,take on the obligations of performing notification,offering assistance and maintaining secrecy. |
