| 摘 要： | 在我国当前"双一流"大学建设和应用型地方高校建设的新时代,现代大学法人制度有必要突破现行制度困境,从而为现代大学健康有序发展提供强有力的制度保障。现代大学理应成为既有"根""魂""骨架",又有"血"和"肉"的人格独立型"成年人"。破解现行大学在内部治理、外部政校关系、法律法规赋力等方面的形式法人症结,可以通过契约和规制变革内部治理、重构契约式新型政校关系、制定《大学法》和赋予大学章程相应的法律效力等路径实现,以此推动现代大学从"形式法人"走向"实体法人"。

| Abstract: | In the new era of "double first-class" university construction and application-oriented local university construction in China, it is necessary for the modern university legal person system to break through the current institutional dilemma, so as to provide a strong institutional guarantee for the healthy and orderly development of modern universities. Modern universities should be independent "adults" with "roots","soul" and "skeleton" as well as "blood" and "flesh". To solve the problem of formal legal person in internal governance, external relationship between government and university, law and regulation, we can change internal governance through contract and regulation, reconstruct new contractual relationship between government and university, formulate University Law and give corresponding legal effect to university charter, thus promoting their shift from "formal legal person" to "entity legal person". |
