| 摘 要： | 通过对独立董事概念的介绍，提出了独立董事必备的标准，明确了身为独立董事虽为兼职，但是利益小、责任大。独立董事为了能够尽职尽责地履行权利和义务，必须要挤出有限的时间，掌握必要的知识和能力、获取充分和准确的信息，以有效地克服公司管理层的内部人控制问题，最大限度地提高董事会在决策活动中的独立性。

| Abstract: | This article introduces a part-time independent director,who bears an important responsibilities with few benefits by describing the basic concepts of independent director,pointing out the necessary standards for independent directors.In order to take the full responsibilities and liabilities,overcome the problems of the interior personnel occurring in management level and promote the independence of decision making by directorate,the independent director should secure necessary and exact information within a limited period of time with his knowledge and talents. |
