| 摘 要： | 自2001年上市公司实行独立董事制度以来,独立董事无论在其独立性上,还是在其实质作用上,都与这一公司治理制度确立的初衷相去甚远。造成这一现象的原因是多层面的,其中主要是制度设计上的偏差。结合我国实际情况,本人认为唯有国家才能真正担当起保护中小股东利益的重任,因此,独立董事的职能应该由政府职能来实现。

| Abstract: | Since 2001,the system of independent director has been introduced and carried out in listed companies.However,the system,not only in the aspect of independence but also in its practical functions,is getting far away from its original intention.Such a phenomenon results from various causes,the major one is the deviation in system design.Taking the actual conditions of China into account,the thesis argues that only the nation can take over the vital task of protecting the rights of medium and small shareholders,therefore,the functions of independent directors should be practiced by the government. |
