| 摘 要： | 近年来 ,随着国际贸易的深入发展 ,世界买方市场的进一步形成 ,国际保理业务作为服务于出口商的有效竞争手段 ,越来越为人们所认识和采纳。在国际贸易的激烈竞争中 ,出口商不得不向买方提供更具吸引力的贸易条件和付款方式。传统的赊销 (O/A)和承兑交单 (D/A)等以商业信用为基础的支付方式对买方固然有利 ,都会使出口商承担更大的汇价和信用风险。鉴于此 ,为以赊销为主的信用销售方式而设计的包括债款回收、贸易融资、坏帐担保和帐户管理等综合性金融服务的国际保理业务得到了迅速普及和发展。本文将对国际保理的相关法律问题进行初步分析 ,并立足于国际保理中债权转让的基本问题 ,分析比较各国相关立法与司法实践及国际惯例的现行做法。对国际保理中法律冲突解决途径进行分析。

| Abstract: | In recent years, along with the thorough development of international trade and further formation of the world buyer market, the ARP business, the effective competition approach served for exporters, is gradually being known and adopted. In the fierce world trade competition, exporters have to provide the buyers more attractive terms of trade and methods of payment. No doubt the way of payment, based on commercial credit, such as traditional credit sale and documents against acceptance etc, is beneficial to buyers, but will make exporters bear to remit the price largely and credit tikes. Owing to this for regard credit sale as the main sale way, the international ARP, inducing loan recovery, trade margin, the bad loan guarantess and the management of bank accout etc. This synthetically financial service is quickly popular side and developed. This article will analyses the law issues related to world ARP initially. Standing upon the basic problems of credit right transfer in world ARP, comparative analyze the correlated legislation and Judicatory fulfillment in aunties and the current doing of international practice. It also makes analysis of solutions for legal conflict in international ARP. |
