| 摘 要： | 通过对我国目前的独立董事制度的深入思考和认识，对上市公司独立董事的选聘和激励方面提出了一些创新的思路，例如由监管机构直接为上市公司选聘独立董事、设立独立董事薪酬基金等，旨在进一步完善我国的独立董事制度，优化公司法人治理结构。
