| 摘 要： | 独立董事制度对完善我国上市公司的治理结构十分必要，但中国特有的股权现象以及传统观念、法思想都使得独立董事在中国水土不服，较多成为公司合法性的摆设。本文论述了独立董事制度起源以及重要性，提出加快独立董事职业化建设，完善独立董事法律法规体系，令其循着科学的轨道运行。
