| 摘 要： | 人力资本与其载体的不可分离，决定了人力资本及其产权有着独特的属性，也使得我们仅从经济效率的角度不一定能推出在现代社会里人力资本产权的核心权利——归属权的天然性、不可交易性和普遍性；也无法解释为什么即使我们从法律和道义上对此做出规定后，还应通过适当的制度安排来关注人力资本产权各项权能的实现过程，而这种制度安排有时有悖效率原则。

| Abstract: | Since the human capital can not be separated from its owner, human capital right has its remarkable feature. We can not deduce the natural, non-tradable and universal features of human capital right only from the reason of economic efficiency. It is also difficult to explain that why we still have to make certain institutional arrangement to implement the realization of various rights of the human capital, when sometimes this arrangement is contradict to the principle of efficiency. |
