| 摘 要： | 采用SWOT分析方法来分析国外私募基金参与国有企业改制过程中存在的优势、劣势、机遇、威胁，然后分别从企业和国家的角度来进行综合分析，并探讨国外私募基金参与国企改制的相关对策，以期为我国国有企业改制提供合理的融资平台，拓宽融资渠道，从而保证国有企业改制的顺利进行。

| Abstract: | Private placement as one of kind of specific capital existence form grows strong day by day in the investment profession,and is playing a more and more important role.The SWOT analysis method is used to analyze the strength,weakness,opportunities,threat.We also comprehensively analyze the remanufacture of state-owned enterprise in using the overseas private placement.Then we make a comprehensive analysis from the enterprise and the national angle,and discuss countermeasures in remanufacture of state-owned enterprise in using the overseas private placement.The paper provides the a reasonable financing platform and develops a financing channel for China's state-owned enterprise remanufacture,thus guaranteeing the state-owned enterprise smooth remanufacture. |
