| 摘 要： | 针对我国证券市场存在的大量控股股东通过截流、挪用等行为侵占上市公司资金和利用非公允关联交易、操纵公司重大决定等方式损害上市公司及中小股东利益的现象,本文从控股股东控制权私有收益理论出发,对控股股东侵权行为的法理进行分析并对我国控股股东侵权行为进行简要列举,在借鉴两大法系对控股股东义务和责任规制的基础上,对我国在加强控股股东义务和责任方面提出了相应的立法建议。

| Abstract: | For the existence of a large of controlling shareholders occupying funds of listed companies through interception,misappropriation and other acts,controlled major decision of companies to against the interests of controlling shareholders.The thesis studies the legal foundation of controlling shareholders right and lists acts controlling shareholders pirating benefit of the corporation and other shareholders,draws lessons from two system of law and proposes a change in the law of our nation. |
