论企业所有权与人力资本所有者激励性制度的安排

摘    要:由于主客观原因的存在,企业这种由人力资本和非人力资本组合的特别合约通常是不完备的。企业不完备合约的内在特征是企业所有权的存在。由于人力资本与非人力资本相比有着不同的产权特征,决定了其对企业所有权的安排有着重大的影响,所以必须针对人力资本所有者设计一套有效的激励性制度安排。

Abstract:Because of subjective and objective factors, the enterprise, which is a special combination of human capital and non-human capital, is not usually complete. The inner feature of incomplete combination of enterprise is the existence of its ownership. Compared with the non-human capital, the human capital has different feature of property right. So it has great impact on the arrangement of enterprise ownership. We should establish an effective incentive system in the light of the owner of human capital.
