| 摘 要： | 缔约过失责任制度在民法中产生较晚，最早系统地提出该理论的是德国著名法学家耶林，它的理论基础为诚实信用原则。其构成要件有四条，即缔约当事人有违反先合同义务的行为；违反先合同义务的当事人有过错；缔约相对人受到信赖利益的损失；缔约过失行为与信赖利益损失之间有因果关系。缔约过失责任一般适用于假借订立合同，恶意进行磋商：故意隐瞒与订立合同有关的重要事实或者提供虚假情况；泄露或不正当使用商业秘密；以及其他违背诚实信用原则的行为。在司法实践中，正确适用缔约过失责任制度应注意缔约过失责任与违约责任的区别；注意缔约过失责任与侵权责任的区别；注意缔约过失责任赔偿范围的认定。

| Abstract: | The system on liability for fault of contracting a treaty came into being later in Civil Law, set forth systematically by the famous German legist Rudolph von Jhering. Its theory was based on the principle of honesty and trust and its four constitutive requirements are (1) the party has the behavior of breaking the contract responsibility; (2 ) the fault of the party; (3) damage of trust benefits the opposite party suffered; (4) causal relations between behavior for fault of contracting a treaty and damage of trust benefits. The liability for fault of contracting a treaty is often applied to making use of contract to enter into malicious negotiation: intentional concealment of related major facts, offering of false instances, revelation or unfair use of commercial secrets and other behaviors of breaching the principle of honesty and trust. In judicial practice, reasonable application of the system on liability for fault of contracting a treaty lies in its differences from liabilities for breach of contract, from tort liability and its homologation of extent of compensation. |
