| 摘 要： | 现代民营企业和传统民营企业的区别在于是否建立起现代企业制度。公司治理制度是现代企业制度的核心。现代民营企业公司治理结构涉及到企业所有者、经营者及全体员工间的关系，主要内容和实质就是解决委托代理关系中的代理问题，即现代民营企业公司治理结构效率的维护问题，核心是通过有效的激励机制，使得代理人尽可能对自己行动负责，全心全意经营管理好公司，实现委托人利益的最大化。

| Abstract: | The modern enterprise run by the local people and difference of the traditional enterprise run by the local people lie in setting up modern enterprise system.It is a core of the modern enterprise system that the company manages the system.The modern private administration structure of enterprise-like corporation involves the relation among enterprise's owner,operator and the staff,main content and essence solve the problem of agency that trusts in agent relation,namely the maintenance question of the modern private administration structure efficiency of enterprise-like corporation,the core is to pass the effective incentive mechanism,make the agent responsible for the event that take action by oneself as much as possible,manage and manage the company well wholeheartedly,realize the maximization of client's interests. |
