| 摘 要： | 近代中国的法律变革中商事法律制度是非常具有代表性的，在制定以及商事司法实践中都有所体现。但是单纯的法律移植并不能解决问题，对于私法性和民间性极强的商法必须考虑中国传统商业社会以及当时的商情。所以在制定和司法实践中都有对商法本土资源的利用，但是这些资源的利用必须符合两个条件，即中国传统社会中存在商法的本土资源，以及当时利用这些资源的必要性。这样的条件也成为了中国近代商法利用本土资源的历史基础。
