| 摘 要： | 股票期权制是目前比较先进的一种激励与约束机制。该文运用委托－代理理论分析了股票期权制实施的本质和现状，对其在中国的发展作了一些介绍并进行了尝试性的理论探讨，同时提出了现阶段我国推行股票期权制需要注意的问题。

| Abstract: | Executive Stock Option is currently a kind of advanced incentive and constraint mechanism. Using the principal-agent theory, the article analyses the essence and current situation on the implementation of ESO, makes some introduction on its development in China and proposes some attemptive and theoriotical approach. Meanwhile, it raises problems needing attention when carring out ESO at the present stage in China. |
