| 摘 要： | 依据技术的特性和技术出资的特殊性,指出我国与其相关的法规存在某些缺憾。提出在中外合资经营的企业中,要有对技术出资限围的限定法规条款;并且要用已有的法规对技术出资进行监管;也要注意对第三方即合资企业之债权人的利益保护。

| Abstract: | On the basis of the characteristic of technology and specific property of capital contribution with technology, this paper points out some imperfections in the relevant regulations. It holds that legal terms of limitation should be imposed on capital contribution with technology under supervision in accordance with the existing regulations and the protection of the interests of the third party, joint venture as a creditor, should be emphasized. |
