| 摘 要： | 我国新修订的《公司法》中规定了股东派生诉讼制度,该制度的引进对于更好地保护中小股东的利益,增强公司法律制度的可诉性起到了积极的作用,但股东派生诉讼本身也存在着被滥用的风险。先诉请求规则就是针对派生诉讼而设计的过滤装置,其目的在于阻止没有正当理由的诉讼并尽可能地内部消化公司内的纠纷。我国虽然也规定了先诉请求制度,但在请求对象以及审查规则等方面仍有进一步完善的必要。

| Abstract: | The latest version of China＇s Company Law stipulates shareholder derivative litigation system, which is friendly as shareholders can protect their rights through litigation. However, shareholder derivative litigation itself imbeddes the risk of being abused. Demand requirement is a safe valve for derivative litigation by preventing unreasonable litigation and resolving disputes internally. Although China＇s Company Law prescribes demand requirement system, there is still much space for improvement in terms of demand subjects and review procedures. |
