| 摘 要： | 通过分析风险投资中的委托代理风险和对我国风险投资在其发展过程中所固有的制度缺陷，借鉴现代公司治理的一般理论，提出通过尽职调查筛选投资项目，建立风险投资家参与风险企业管理的长效机制，培育风险投资业发展的良好外部环境，可改善我国风险企业成长过程中的公司治理机制。
