| 摘 要： | 有效的公司治理对公司发展具有重要的意义。由于各国的历史、政治、经济、法律与文化发展的不同,公司治理表现出不同的特点。主要表现为以日德为代表的内部监控模式、以英美为代表的外部监控模式。由于我国股票市场引入时间不长,畸形的股权结构导致公司治理与公司业绩低效。在改革中国资本市场,优化中国股权结构中,我国应着眼于中国的国情与股票市场历史形成特点,善于吸收与汲取国外发达国家股权结构与公司治理的成功经验,取长补短,推动我国股权结构的优化与公司治理的完善。
