| 摘 要： | 对国有企业从国有制、承包制到现行股份制治理结构的分析．表明以公司化为目标的国有企业的改革，必须结合中国国有产权占主体的特点．通过产权机构的改革．分离政府职能．配合其他制度安排．创建中国模式的公司治理结构．证明了在社会主义市场经济下国有产权结构与现代企业制度的兼容性。

| Abstract: | After the analysis of stat-owned enterprise system,responsibility system and current stocks division system,talcing the company system as the objective,must combine China's state-owned prodaction rights,then institutions,to seprate government's duties and functions,and finally crate company ruling and managment struture of china's model after taking the reference of other combination of state-owned structure under socialism market economy and modern euterprise system. |
