| 摘 要： | 近代中国的法律制度是移植的产物。总体来看，是失败的，而日本法制对西方法制的移植是成功的，其原因是日本对西方法并非完全复制，而是引发了与固有法之间的同化。法的移植必须处理好法律化的国际化与本土化的关系。

| Abstract: | Modern Chinese legal institution is a system transplant, which is a failure to some extent as a whole. However, Japanese legal institution, which is also a system transplant is a success because it is not an entire transplant but a result of assimilation. So it is very important to cope with the relationship of internationalization and internalization in the course of legal transplanting. |
