摘    要:随着房地产行业的高速发展,房地产企业的融资需求越来越迫切,特别在国家宏观调控政策背景下,房地产企业开始寻求新的融资方式。因房地产夹层融资兼具债权融资和股权融资双重特性,在我国房地产融资市场上有较大的发展空间。为此,我们应该完善《公司法》中对一人公司的规定及权利担保的规定,从法律上承认优先股的地位,借鉴债权人制度解决贷款人之间的利益冲突,从立法的角度加以引导和规范。

Abstract:Financing is an urgent need for real estate enterprises with the high--speed development of real estate. Within the national macro--control policies, real estate enterprises seek new financing. As for the characters of mezzanine financing, creditor's rights financing and equity financing, mezzanine financing plays and will play an important role in the real estate financing market. Therefore, the definition of one-- person company and that of rights guarantee in the law of corporation should be perfected.
