产学研融合法人董事会治理的法律解构研究

摘    要:校企合作是职业教育的必由之路。校企合作由“合作”向“融合”发展,由“松散型”向“紧密型”发展,由“股东会中心治理”向“董事会中心治理”发展。基于校企合作法人型公司人格独立,施行董事会中心治理模式,有利于所有权与经营权相分离,易于防止资本的逐利本性,更利于高职院校校企合作人才培养目标的实现。

Abstract:School-enterprise Cooperation is necessary for vocational education. School-enterprise Cooperation is developing from “cooperation” to “integration”, from “loose agreements mode” to “close cooperation mode of legal person company”, from “shareholders meeting center governance” to “board of directors center governance”. For the legal person type in School-Enterprise Cooperation has the feature of the personality independent, implementation of the board of director center governance is beneficial to separate ownership and management, to prevent the profit-seeking nature of capital, more conducive to higher vocational colleges School-enterprise Cooperation to achieve the goals of talents cultivation.
