| 摘 要： | 独立董事系统是伴随着公司自组织系统化约复杂性和自我再生而出现的。独立董事系统本身也要化约自身内部的复杂性,区分专属自我的界限,即功能。信息是其与环境进行沟通的媒介,而法律责任是规范独立董事法律不可或缺的一个要素,这样独立董事系统才能最大限度达到法律责任的预期目的。

| Abstract: | The independent director system is not only designed to carry out simplification of complexity and autopiesis in company self-organization system,but also internal complexity and differentiate itself boundary which is its function.Sufficient information is the media of communication with its environment.The legal liability is an indispensable element of law which is to regulate independent directors' behaviors.This can make best efforts to fulfill legal anticipation of the independent director system. |
