| 摘 要： | 根据2007—2010年上海证券交易所发行A股的所有基础建设上市公司的年度报告中关于内部控制股权结构情况,采用统计分析的方法,对我国基础建设上市公司的股权性质、集中度、董事会结构等现状进行分析,发现我国基础建设上市公司内部控制股权结构存在一些问题,诸如股权高度集中在国家手中以及董事会结构不健全等。从政府、法律、公司等角度进行原因分析,对机构投资者、公司自身、国家等方面提出相应的改进措施,以期完善我国基础建设上市公司内部控制。

| Abstract: | Based on the annual reports between 2007 and 2010 on internal share control structure by Shanghai Stock Exchange on all A share infrastructure listed companies,using statistical analysis methods,analysis is made on the listed infrastructure companies in China on their status quo as to the nature of stock rights,the concentration ratios,and the structures of their board of directors etc.Some issues existed in the internal share controlling of these companies have been discovered,such as the issue of share rights being controlled by the State in great percentages,and the imperfection in the structures of the boards of directors.Analysis is made on the causes from angles of the government,the law,and the company,and relevant improvement measures have been raised for the aspects of institutional investors,the companies proper,and the State,for the purpose of perfection of internal control by the listed infrastructure companies in China. |
