| 摘 要： | 国有小企业是国有经济的重要组成部分。同样存在着产权模糊，企业内部所有者缺位，所有权虚 置，企业经营者与企业所有者代表同一的问题，从而导致经营机制僵化，管理水平落后，资产负债率高， 经营严重亏损。作为股份制和合作制结合体的股份合作制，适应国有小企业的发展，以盈利和互助为目的， 资本联合与劳动联合相结合，资本和劳动处于平等地位，按资分配与按劳分配相结合，实行一人一票与一 股一票相结合的表决制度。通过股权设置、机构设置、收益分配几个层次的具体操作，使小企业产权明晰， 机制灵活，转亏为盈。

| Abstract: | The small national enterprise is an important component of national economy, where exist such problems as vagueness of property right, the vacancy of the owner in side the enterprise, the nominal of the ownership; the sameness of the manager and owner of the enterprise, thas arise matters as the stiffness of management mechanism. administrating dropping behind. As the combination of joint-stock system and cooperant system, the juint-stock and cooperant system is suitable for the development of the small national enterprises, aiming at making profits and helping each other, associate capital coalesce with labor coalese, in wihich capital and labor have the equal status. The payment is processed according to both canal and labor.By assigning the stock powerm, building institutions and distributing the profits, the property right is made clear, mechanism become flexible, loss truns into suplus. |
