| 摘 要： | 公司治理起因于产权的分离，治理的功能是权、责、利的分配，治理模式有效率的前提是剩余索取权与剩余控制权的对称分布。“股东至上主义”逻辑和利益相关理论作为公司治理的思想源流，分别导致了两种不同的治理模式：股东单边治理模式和利益相关共同治理模式。本通过对这两种模式的比较分析，认为我国商业银行应当选择利益相关共同治理模式。

| Abstract: | Corporate governance is originated from the separation of ownership and management, the function of which is to assign the right, responsibility and profit. As far as an efficient governance model is concerned, there must be reasonable assignment of the residual claim rights and residual control power among various parties relevant to the corporate. As the different resources of corporate governance, stockholder conciliarism and stakeholder theory lead to two different governance models respectively, one is shareholder-oriented and the other is stakeholder-oriented. After analyzing the differences of the two models, the author draws a conclusion that it is wholesome for the commercial banks in china to attach more importance to stakeholders. |
