| 摘 要： | 公司治理结构是一种据以对公司进行管理和控制的体系,是以董事会为核心的一种结构或制度的安排,目的是在公司所有权和管理权分离的情况下,通过对管理层行为的监督来维护股东及其他利益相关者的权益。作为公司治理的核心———董事会却由于安排的不合理,缺少必要的监督和控制,在很大程度上导致上市公司股东利益冲突的发生。由此,要有一个高层次的决策集体,即应该适当地包括了股东董事、经理董事和外部董事;最重要的是使企业的董事和企业的股东参与决策,在上市股份公司中建立治理型公司董事会安排。

| Abstract: | Corporate governance organization is a system to manage and control the company,with the board of directors as its core.Its goal is to guard the interests and rights of the shareholders and related people through supervising the management on the basis of the separation of firm′s ownership from its management.As the core of cooperate management,the board of directors plays a key role.Its improper composition and lack of necessary supervision and control will,most probably,cause conflict of the shareholder′s interest.Therefore,it is urgent to establish a high-level decision-making management personnel organization including shareholder directors,managers and outside directors,enabling them to participate decision-making activities and to become a real corporate governance body. |
