| 摘 要： | 英美法系在判例法的发展过程中,确立了独立董事在一定条件下对第三人承担责任。我国新修订的《公司法》并没有规定独立董事对第三人的责任,而作为一项制度,不仅要赋予制度的执行者一定的权利,更重要的是要有责任作为基础,这样才能真正发挥制度的作用。由此,通过对英美法系独立董事对第三人责任的介绍,从主体、主观方面、客观方面来构建我国独立董事对第三人责任制度,以使正处于制度移植和与我国现行制度相契合的独立董事制度得到健康的发展。

| Abstract: | In the development course of the law of legal precedent,the Common-law system has established that the independent director should undertake the their party's liability in certain condition.There is no similar rule in China's revised "Law of Corporation".A system should not only give the executor right,accountability is more important.With the introduction of the law,it is hoped that corresponding laws can be developed in terms of the subject and object.In that case,a suitable laws concerning independent director will develop healthily in China. |
