| 摘 要： | 有限责任公司的股东瑕疵出资存在多种形态，而由这些出资形成的瑕疵股权在转让后的出资责任如何分配。公司法应做出具体而明确的规定。目前，《公司法》及其司法解释的有关条款规定尚欠合理，有关出资责任的司法审判案例也不尽相同。为弥补这一缺陷，有必要对瑕疵出资的股东资格、瑕疵股权转让合同的效力进行分析，并在此基础上，结合我国大量有关瑕疵股权转让后的出资责任司法审判案例，探寻一个适当的瑕疵股权转让的出资责任体系。

| Abstract: | There are many forms of the defective capital contribution of shareholders in a limited liability corporation. The Corpo- rations Law should provide specific and clear regulations on how to distribute the investment liability after the defective equity transfer. At present, the regulations provided by Corporations Law and relative judicial interpretations are not reasonable; and some cases about the investment liability in the defective equity transfer also do not have the same result. To solve this problem, it is necessary to analyze the qualification of the defective capital contribution shareholders and the legal effect of the contract a- bout the defective equity transfer. Combined the cases about the investment liability in the defective equity transfer, an appropri- ate system for regulating the investment liability will be built up. |
