| 摘 要： | 依照法律经济学的合同路径分析可知，公司法信义原则实际上是合同的默示条款，无需借助法律体系，市场机制就能承担信义原则实现的绝大多数成本，这无疑是增进股东、公司效益最大化的最佳途径。我国公司法已经明确规定了信义原则，然而支撑我国公司法信义原则得以实现的市场机制，还存在许多不甚完善之处，这严重制约着公司法信义原则的实现。当下之急就是应当积极培育支撑信义原则得以实现的市场土壤，以促使信义原则从纸上的法律条文变成社会生活的实际。
