| 摘 要： | 随着市场经济的深入发展,规模经济日益为人们所重视。公司收购作为一条促进企业规模迅速扩大、经济效益迅速提高的捷径而倍受关注。当前,对公司收购的理论研究,主要是从公司法和证券法角度入手,其他领域涉及不多。而公司收购的结果往往是企业的合并,很容易形成垄断。公司收购事关多方利益的均衡,关乎一个国家的经济秩序,这就必然使其成为反垄断法的调整对象。用反垄断法来控制企业合并,在国外已存在多年,并积累了相当的经验。笔者从反垄断法的角度讨论公司收购,以求对我国公司收购法律制度的发展和完善有所裨益。

| Abstract: | With the further development of market economy,economy of scale is being cared about more and more.Company purchase,as a means of helping expand the scope of enterprises and improve economic benefits rapidly,is being paid closer attention to.At present,the theoretical research on company purchase is purely and simply taken from the angle of the Company Law and Law of Securities,little involved in other fields.But the result of company purchase tends to be the combination of enterprises,and get monopolized.Company purchase is involved in the balance of many benefits,and it is related to a nation's economic order,which will inevitably cause it to be the control target of antimonopoly.The combination of enterprises being controlled by the Law of Antimonopoly has been applied for several years abroad and reasonably good experience has been achieved from it.This paper attempts to discuss company purchase in terms of antimonopoly legal,in order to help perfect our system of purchase legal. |
