| 摘 要： | 在研究国外优先股制度基本理论和实践的基础上,阐述我国公司法引进优先股制度,对拓宽融资渠道、丰富投资工具和促进经济发展具有重要的现实意义。论证我国设置优先股必须以法律能够切实保护投资人合法权利为前提,并对如何保护优先股股东的合法权利,从不同角度提出具有创新性的建议。

| Abstract: | Based on the study of the basic theory and practice for the system of foreign preferred stock,this thesis demonstrated that introducing the system to company law of China is a urgent and real need.It will be useful on widening the financing channels,enriching investment tools and promoting economic development.This thesis pointed out that establishing the system of preferred stock in China should have a prerequisite that the law of our country can protect investors＇s lawful rights.At last,this thesis put forward some innovative proposals from different point of view for protecting the legitimate rights of preferred stockholders. |
