| 摘 要： | 近几年来，在我国资本市场超常规发展中，证券投资基金飞速跟进，两年走完了国外发达市场20年的发展道路。其中异常活跃的私募基金规模已达1万多亿元，与公募基金的规模相差无几。但由于一直没有得到法律明确的承认和监管，其运作存在很多问题。因此，我们应该借鉴国外成熟的做法，对私募基金进行立法规范；严格限定私募基金发起人和管理人的资格；明确合格投资者的条件；加强对私募基金的监管。
