| 摘 要： | 现代公司法奉行“所有权与经营权分离”的公司治理原则，大多数股东不直接参与公司的经营管理，公司的日常经营和决策掌握在董事会和经理层手中，所以世界上很多国家公司法都规定了股东知情权制度。我国2005年公司法明确规定了股东享有知情权及其受到侵害时的股东诉讼权，但是在股东知情权行使的条件以及股东知情权诉讼的程序方面仍然存在很多缺陷，导致股东知情权保护在实践中的可操作性不强。因此，分析股东知情权的内容和理论依据以及我国在股东知情权规定方面存在的缺陷，从而提出具体的完善措施，切实保护股东的知情权就显得尤为重要。

| Abstract: | Modern company law adheres to the principles of ＂separation of ownership and management＂. The majority of shareholders not directly involved in the company＇s operations and management the company＇s daily operations and decisionmaking rests in the hands of the board and management level, company law of many countries provide for the system of the shareholders＇ fight to information. Company law clearly stipulates the shareholders＇ right to information and its shareholders when the shareholders are infringed the fight to appeal. But there are still many shortcomings in the exertion condition and contentious procedure of the shareholders＇ fight to information, which leading to the protection of the shareholders＇ right to information in practice the operability is not strong. Therefore, this article analyzes the content and theoretical basis of the shareholders＇ fight of information, thereby we can improved specific measures to effectively protect shareholders＇ fight to information. |
