| 摘 要： | 资产证券化无疑是当今国际金融市场上发展日趋成熟完善的新型融资工具,它不仅依赖于适合的经济条件,更需要相关法律去保护和促进其成熟发展。就我国而言,目前法律的相关空白和障碍在很大程度上限制了资产证券化的迅速发展。而对于其必不可少特殊目的机构的法律构建和法律环境问题更是不容忽视,关键是能形成对于实现“破产隔离”的风险隔离机制的法律保护环境。

| Abstract: | Asset securitization,without doubt,is a currently new financing means developed more and more perfect in uhe international financial markets in the recent years,and counts not only on the suitable economic conditions,but also on its development under the protection of relevant law and regulations.As far as our country is concerned,the relevant laws and regulations at present have limited the rapid development of asset securitization to a great extent.Nevertheless,the laws construction and legal environment of special purpose vehicle,a necessity entity,in the securitization operation can not be ignored,the key factor is to build the legal protection to realize the real "bankruptcy insulation" system. |
