| 摘 要： | 晚清洋务运动时期股份制企业的股东，难以借助企业内部治理机构充分行使对企业经理层的约束权、监督权。政府官员未能普遍认可企业股东的财产权力，只是给予大股东某些特权，使大股东所有权与官方政治权力相叠合，企业中出现经营权力膨胀的现象，中小股东基本无缘利用股东会机制伸张自身的权力。同时，股东们对自身的权力也缺乏认识，混淆了股票投资与传统合伙经营行为。

| Abstract: | In the period of westernization movement,the stockholders couldn't fully exert their right about restraining and supervising managers by the inside administering organization of enterprises. The government officers didn't universally admit the right of stockholders. They only gave the certain privilege to some big stockholders, which caused the overlap between the ownership of the big stockholders and the administrative right of the government and the inflation of the managers' right so that the ordinary stockholders had no opportunity to use stockholders' board to ask their own right. Meanwhile, the stockholders lacked the consciousness at their property right and confused the stock investment with traditional joint-invest actions. |
