| 摘 要： | 从外贸代理制度入手分析代理商在国外数字资源引进过程中的法律地位、权利义务，帮助图书馆从制度安排的角度认识和理解代理商的权限和职能。结合图书馆数字资源引进工作实务，分析了当前图书馆与代理商之间重要代理合同缺失可能导致的法律风险，阐明了图书馆与出版社发生法律争议时代理商所承担的法律义务。建议图书馆应重新审视和理解代理商的角色和地位，在共同反对国外出版社垄断行为，规避国际贸易法律风险方面结成新型合作伙伴关系。

| Abstract: | Based on the foreign trade agency system,the legal status,rights and obligations of the agents in the process of the introduction of foreign digital resources are analyzed to help the library to understand the authority and functions of agents from the perspective of institutional arrangements.This paper analyzed the legal risks that may arise from the lack of important agency contracts between the library and the agents,and clarified the legal obligations of the agents in the legal dispute between the library and the press.It is suggested that the library should re-examine and understand the role and status of the agents and form a new type of cooperative partnership in the process of jointly opposing the monopolies of foreign publishers and avoiding the legal risks of international trade. |
