| 摘 要： | 跨国公司母子公司关系是跨国公司治理模式的基础，而基于知识的跨国公司母子公司关系是跨国公司母子公司关系的重要形式之一。在分析跨国公司母子公司中的知识构成与知识结构的基础上，从知识的视角对基于母子公司控制关系的几种主要跨国公司治理模式进行了研究，并分析了知识构成、知识结构和知识转移对跨国公司母子公司控制关系的影响和作用。最后，对如何建立合理的基于知识的跨国公司治理结构提出了建议。
