| 摘 要： | 伴随着现代企业组织形式的出现而产生的两权分离，导致了企业内部委托代理关系的产生。分析由于委托代理制而产生的代理风险、代理成本和内部人控制等问题及其原因，从公司治理结构视角探讨了如何在现代企业内部建立激励、监督和制约三个有效机制，以降低委托代理成本等问题，瞻望了公司治理结构的全球发展趋势。

| Abstract: | With the appearance of modern enterprise, there exists the relation of entrustment-deputizing. The paper mainly demonstrates the problems of the risk, cost and insider-controlling and their causes, analyses how to build inspiring system, monitoring system and restricting system in the modern enterprise from corporation governance in order to reduce the cost, and views the developing trend of corporation governance. |
