| 摘 要： | 建立有效的公司法人治理结构是我国企业公司化改制的核心问题，而董事会在公司法人治理结构中处于中心地位，起着关键使用，因此，我国要建立有效的公司法人治理结构，就必须对我国目前的董事会进行改造。改造的途径之一是引入独立董事，以便提高董事会决策的科学性，维护股东利益，充分发挥公司法人治理结构分权制衡，互相监督的作用。

| Abstract: | Establish effective administer structure of company legal person is the core of reform question of enterprise company in China,but the board of directors is in a center position in the administer structure of company legal person,it plays key role.So,establish effective administer structure of company legal person,it must make remold the board of directors of nowadays.This way one of is lead into independent director for improve the board of directors decisive science,safeguard the shareholder interests,bring the administer structure of company legal person into full play branch equality and supervise each other. |
