| 摘 要： | 股东表决权信托的客体究竟是股份还是基于股份所产生的表决权,意义重大。结合实践,从股东表决权的功能、英美法系的财产法理、以及与股份信托、股东表决权拘束契约制度的比较研究的角度对表决权信托进行法理分析,股东表决权信托客体确定为表决权更为妥当。

| Abstract: | It is of great significance whether the object of stockholder voting power trust is share or share-based voting power.Based on the practice,it is necessary to carry out a comparative jurisprudence study from perspectives of the function of stockholder's voting power,the property's legal principle of the UK and the USA and the system of restraining stockholder trust and stockholder voting power.A conclusion can be drawn that the object stockholder voting power should be determined as voting power. |
