| 摘 要： | 所有权和占有权的矛盾是社会主义国有企业的主要矛盾。如果将所有权与占有权混为一体，只是明晰占有以与经营权的关系，不触动国企的主要矛盾，它的改革将是治标不治本。如何以社会主义民主法制保证和实现劳动者对国有企业的所有权，是解决国企主要矛盾，对国企进行改革的首要环节。社会主义民主制以公有制为基础，又是公有制的内在机制。

| Abstract: | The main contradictory of socialist state enterprise is the contradictory between own authority and occupied authority. The reform would be un-complete, if the own authority and occupied authority had been mixed, and the relation between the occupied authority and management authority of state enterprise had not been touched. The main part of state enterprise reformation is to resolve the main contradictory of state enterprise through building socialist democratic law system, and carry out labor's occupied authority of state enterprise.
