论民办学校的法律地位与法人治理结构的完善

摘    要:我国现行法律既未明确概括民办学校的公法地位,对其私法地位的界定也与学说与制度不洽,致使民办学校法律地位不明,对民办学校的发展多有不利。本法理论,民办学校应当既是一种民事法律主体,享有法人的经营权,同时也行使一定的教育行政管理职权,具有公法地位,因而其法人类型应定位为社团法人、事业法人及准公益法人。相应地,民办学校的法人治理结构应当在决策机关的人员组成、监督机关的组织与职权,以及专家评议会的组织与职权等方面通过修法加以完善。

Abstract:China's existing law neither clearly sums up the public law status of private schools, nor defines the private law status, which results in unclear legal status of private schools and does harm for the development of private schools. Private schools should be the law subject and corporate with the management right, exercising certain administrative functions of education, have the status of public law ,therefore, its corporate types should be targeted for the commonalty, institutional corporate and quasi-public corporate. Accordingly, the corporate management structure in private schools should be perfected by amending the law from the aspects of personnel of decision-making organization, and supervision organization and authority, as well as organization of expert council and authority.
