| 摘 要： | 建立上市公司独立董事制度的目的是为了加强董事会的监督管理职能,从而加强对股东尤其是中小股东利益的保护,但独立董事制度目前在我国实施的效果并不明显.从独立董事制度的影响因素入手,探究独立董事制度影响因素与公司业绩的关系,为提高独立董事制度的有效性提供一定借鉴.
