| 摘 要： | 国有企业向外商投资股份公司转变涉及一系列法律问题。转变必须符合法律规定的条件,为了使拟设立的外商投资股份公司能够顺利地发行股票并上市,转变过程中必须进行企业重组。转变导致原国有企业的组织形式、组织机构等都发生了重大变化,因此,转变后的外商投资股份公司应承继原国有企业的一切权利和义务。

| Abstract: | The transformation of state-owned enterprises into foreign-investment companies limited by shares leaves a wide margin of legal problems. The previous legal items in question in China have only defined the acceptability of the transformation from limited company into limited company by shares. There are also other relevant ones, but too simplistic and far from systematic, the situation of which has brought about difficulties to practice. The paper then makes an attempt to account for the various legal issues concerned. And it holds that the transformed investment companies by shares should succeed all the rights and obligations of the previous foreign investment enterprises. |
